Terms of Service

1. Acceptance of Terms

By accessing and using Contract Ledger ("the Service"), a product operated by Initialee SARL (Registered in France, SIREN: 944 341 692), you agree to comply with and be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

2. Description of Service

Contract Ledger provides a SaaS platform for post-signature contract tracking and management. We reserve the right to modify, suspend, or discontinue the Service at any time, with or without notice.

3. Accounts and Security

• Registration: You must provide accurate and complete information when creating an account.
• Security: You are responsible for maintaining the confidentiality of your password and account. You agree to notify us immediately of any unauthorized use.
• Responsibility: You are fully responsible for all activities that occur under your account.

4. Subscription and Billing

• Free Trial: We offer a 30-day free trial. You will not be charged if you cancel before the trial period ends.
• Billing: The Service is billed on a subscription basis (monthly or annually). You authorize Initialee SARL to charge your payment method for these fees.
• Auto-Renewal: Your subscription will automatically renew at the end of each billing cycle unless you cancel it through your account settings prior to the renewal date.
• Price Changes: We reserve the right to adjust pricing for the Service. Any price changes will take effect following notice to you.

5. Cancellation and Termination

• You may cancel your subscription at any time. Your cancellation will take effect at the end of the current paid term.
• We reserve the right to terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

6. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Initialee SARL and its licensors.

7. Limitation of Liability

To the maximum extent permitted by law, Initialee SARL shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

8. "AS IS" Disclaimer

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Initialee SARL makes no representations or warranties of any kind, express or implied, regarding the operation of the Service or the information, content, or materials included therein.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of France, without regard to its conflict of law provisions.
